10. Additional Information

10.1. Erwerb von 4.869.681 Aktien

Die Familie Benko Privatstiftung (FN 209416 s) hat durch die von ihr (indirekt über SIGNA Holding GmbH und SIGNA 2018 Zwei GmbH, FN 486103h) kontrollierte SIGNA 2018 Eins GmbH (FN 486105 k) am 9.4.2018 (Valutatag 9.4.2018) 4.869.681 Aktien der Emittentin S IMMO AG (FN 58358 x), ISIN: AT0000652250, von der Sparkassen Versicherung AG Vienna Insurance Group (Letztgenannte als Verkäuferin) erworben.

10.2. Bisheriger Meldungsstand

Wie bereits in der Meldung vom 28.12.2017 bekanntgegeben, hat SIGNA Holding GmbH (FN 191343 m) den Erwerb von 6.832.561 Aktien der Emittentin durch die Theos GmbH (FN 421950s) mit Substanzgenussrechten der Theola Invest GmbH (FN 456014 i) finanziert und wurden diese Aktien daher als für Rechnung von SIGNA Holding GmbH gehalten (§ 92 BörseG, nunmehr § 133 BörseG 2018 iVm § 23 Abs 2 Z 1 ÜbG) gemeldet. Die Vereinbarungen in Bezug auf Theos GmbH und die von dieser gehaltenen Aktien der Emittentin sind gegenüber der Beteiligungsmeldung vom 28.12.2017, auf die unter einem verwiesen wird, unverändert.

Ebenso bereits mit Meldung vom 28.12.2017 und Änderungsmeldung vom 27.3.2017 wurde der Erwerb von Optionen durch SIGNA Holding GmbH nach § 91a Abs 1 BörseG (nunmehr § 131 Abs 1 BörseG 2018) gemeldet, wonach SIGNA Holding GmbH vom (nunmehr gemäß Änderungsmeldung) 1.7.2018 bis 15.12.2019 das Recht hat, die von Everest Investment GmbH & Co KG (FN 469572 y) gehaltenen 2.443.770 Aktien der Emittentin und die von der Pavus Immobilien GmbH & Co KG (FN 466427 y) gehaltenen 5.353.425 Aktien der Emittentin zu erwerben.

Zu dieser Meldung vom 28.12.2017 samt Änderungsmeldung vom 27.3.2018 ist es zu keinen Änderungen gekommen.

10.3. Hinweis zu Feld 8:

In Feld 8 sind bei der SIGNA 2018 Eins GmbH die von dieser direkt gehaltenen (am heutigen Tag erworbenen) Aktien angeführt.

Bei der SIGNA Holding GmbH werden bei den direkt gehaltenen Finanzinstrumenten die Optionen gegenüber Pavus Immobilien GmbH & Co KG und Everest Investment GmbH & Co KG angeführt (siehe oben Punkt 10.2.).

Von einer gesonderten Anführung der aufgrund der Genussscheinfinanzierung zurechenbaren (§ 133 BörseG 2018 iVm § 23 Abs 2 Z 1 ÜbG) Aktien, die von Theos GmbH gehalten werden, wird in Feld 8. abgesehen.

Hingewiesen wird darauf, dass das Stimmrecht jedes Aktionärs in der Hauptversammlung der Emittentin gemäß § 13 (3) der Satzung der Emittentin mit 15 % der ausgegebenen Aktien beschränkt ist.
