Die RPR Privatstiftung (Stifter und Begünstigter Ronny Pecik, geb. am 04.03.1962) hat durch ihre indirekte Tochtergesellschaft Theos GmbH (gehalten über die direkte Tochtergesellschaft Luxury Living GmbH (künftig: Theola Invest GmbH) (FN 456014 i) ("Theola") als Käuferin mit Aktienkaufvertrag vom 28.12.2017 6.832.561 weitere Aktien der Emittentin S IMMO AG (FN 58358x) ISIN: AT0000652250 von Erste Group Bank AG als Verkäuferin erworben. Valutadatum ist der 28.12.2017. Die RPR-Gruppe hält somit am Tag der Schwellenberührung über ihre indirekten Tochtergesellschaften Theos GmbH, Everest Investment GmbH & Co KG und Pavus Immobilien GmbH & Co KG insgesamt 14.629.756 Aktien der Emittentin.
Zugleich haben die RPR Privatstiftung, die Theola, die Theos GmbH, die Everest Investment GmbH & Co KG und die Pavus Immobilien GmbH & Co KG jeweils am 28.12.2017 Vereinbarungen mit der SIGNA Holding GmbH abgeschlossen, wonach (i) SIGNA Holding GmbH den Ankauf der 6.832.561 weiteren Aktien der Emittentin mit Substanzgenussrechten der Theola finanziert (§ 92 BörseG iVm § 23 Abs 2 Z 1 ÜbG); (ii) SIGNA Holding GmbH vom 15. Jänner 2018 bis 15. Dezember 2019 das Recht hat, die von der Everest Investment GmbH & Co KG gehaltenen 2.443.770 Aktien der Emittentin und die von der Pavus Immobilien GmbH & Co KG gehaltenen 5.353.425 der Emittentin zu erwerben und den gesamten Geschäftsanteil an der Theola, welche indirekt über die Theos GmbH 6.832.561 Aktien der Emittentin hält, zu erwerben, (iii) SIGNA Holding GmbH vom 30. September 2018 bis 30. Juni 2020 verpflichtet ist, auf gemeinsames Verlangen der Everest Investment GmbH & Co KG und der Pavus Immobilien GmbH & Co KG die von Ersterer gehaltenen 2.443.770 Aktien und die von Zweiterer gehaltenen 5.353.425 Aktien der Emittentin zu erwerben, sowie (iv) SIGNA Holding GmbH vom 15. Jänner 2020 bis 30. Juni 2020 verpflichtet ist, auf Verlangen der Theos GmbH die von dieser gehaltenen 6.832.561 Aktien der Emittentin und auf Verlangen der RPR Privatstiftung den von dieser gehaltenen gesamten Geschäftsanteil an der Theola, welche indirekt über die Theos GmbH 6.832.561 Aktien der Emittentin hält, zu erwerben. Hingewiesen wird darauf, dass das Stimmrecht jedes Aktionärs in der Hauptversammlung der Emittentin gemäß § 13 (3) der Satzung der Emittentin mit 15% der ausgegebenen Aktien beschränkt ist.
