S IMMO AG: Cancellation of maximum voting right rejected by general meeting
Vienna (pta017/24.06.2021/12:45) - Today S IMMO AG's extraordinary general meeting has voted on the resolution proposal of IMMOFINANZ AG to cancel the maximum voting right under the articles of association. The resolution proposed by IMMOFINANZ AG has not achieved the required (capital) majority. The maximum voting right set out in Section 13 para 3 of the articles of association thus remains unchanged and in full force.
Consequently, an essential condition of IMMOFINANZ AG's takeover offer has not been met. However, in the takeover offer IMMOFINANZ AG has retained the right to amend the offer respectively to waive this condition precedent.
