FURTHER ANNOUNCEMENT IN RELATION TO COMPLETION OF PLACING OF SHARES

References are made to the announcements of the Company dated 27 May 2014, 28 May 2014, 6 June 2014, 16 June 2014 and 4 July 2014 in relation to, among other things, (i) the PF Placing; (ii) the GM Subscription; (iii) the FT Placing; and (iv) the CB Subscription (collectively, the “ Announcements ”). Definitions and terms used in this announcement shall have the same meanings as those defined in the Announcements unless otherwise specified.

The Board would supplement that, as at 4 July 2014, an aggregate of 40,000,000 Shares had been successfully placed under the FT Placing by the Joint Placing Agents to LA COMPAGNIE FINANCIERE EDMOND DE ROTHSCHILD BANQUE SA and Leighton Deck Limited at the Placing Price of HK$0.8 per FT Placing Share. To the best of the Directors’ knowledge, information and belief, having made all reasonable enquiries, the Placees and their ultimate beneficial owners (if applicable) were third parties independent of

and not connected with the Company and its connected persons. None of the Placees became substantial shareholders (as defined in the Listing Rules) forthwith the completion of the FT Placing.
