Item 2.02 Results of Operations and Financial Condition

On April 23, 2008, we issued a press release reporting our financial results for the three months ended March 31, 2008 (the “Press Release”). We also hosted a conference call and webcast on April 23, 2008 during which we made a presentation on our financial results for the three months ended March 31, 2008 (the “Presentation”). The Press Release and the Presentation are available on our website at www.ryder.com .

The Press Release includes information regarding SCS business segment total revenue growth excluding the impact of a customer contract modification, which is a non-GAAP financial measure as defined by SEC regulations. We believe that this non-GAAP financial measure provides useful information to investors, and allows for better year-over-year comparison, as the measure excludes from our GAAP SCS business segment total revenue the impact of a customer contract modification which changed the reporting of revenue from a gross to net presentation for this transportation service arrangement. This change does not affect operating revenue or earnings.
