On 8 January 2015 BlackRock Financial Management, Inc., New York, NY,
U.S.A., has informed us pursuant to sec. 21 para. 1 Securities Trading Act
(WpHG) of the following:

The percentage of the voting rights of BlackRock Financial Management, Inc.
in RWE AG has exceeded the threshold of 5% on 6 January 2015 and amounts to
5,06% of the voting rights (29,157,119 voting rights) on that day. 2.47% of
the voting rights (14,212,863 voting rights) are attributable pursuant to
sec. 22 para. 1 sent. 1 no. 1 WpHG. 0.0001% of the voting rights (470
voting rights) are attributable pursuant to sec. 22 para. 1 sent. 1 no. 2
in connection with sent. 2 WpHG. 0.01% of the voting rights (38,055 voting
rights) are attributable pursuant to sec. 22 para. 1 sent. 1 no. 6 WpHG.
3.03% of the voting rights (17,445,914 voting rights) are attributable
pursuant to sec. 22 para. 1 sent. 1 no. 6 in connection with sent. 2 WpHG.

the sum of the detailed attributed holdings. This results from voting
