Cleansing Notice

Rumble Resources Limited (“Rumble” or “the Company”) (ASX: RTR) advises that it has today completed the issue of 2,418,518 fully paid ordinary shares (“Shares”) at $0.135 per share without disclosure to investors under Part 6D.2 of the Corporations Act, being the related party participation in the previous capital raising that was approved by shareholders at the Company’s AGM held on 23 November 2023. Further information is detailed in the Company's announcements of 14 August 2023 and the Appendix 2A lodged with the ASX today.

The Company relies on case 1 in section 708A(5) of the Corporations Act in respect of the issue of the Shares.

As at the date of this notice, the Company has complied with:

  • a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • b) sections 674 and 674A of the Corporations Act.

  • The Company confirms that, as at the date of this notice, there is no information that:

    • a) has been excluded from a continuous disclosure notice given to the ASX in accordance with the ASX Listing Rules; and

    • b) investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

      • (i) the assets and liabilities, financial position and performance, profits and losses and prospects of the Company; and

      • (ii) the rights and liabilities attaching to the Shares, to the extent to which it would be reasonable for investors and their professional advisers to expect to find such information in a disclosure document.
