RTG MINING INC. ANNOUNCES ISSUE OF US$15 MILLION PLACEMENT SHARES July 22, 2016

RTG Mining Inc. (TSX: RTG, ASX: RTG) (“ RTG ” or the “ Company ”) is pleased to announce that it has successfully completed the issue of approximately 33 million shares at a price of A$0.60 per share to institutional and sophisticated investors pursuant to the private placement announced by the Company on 15 July 2016 (“ Private Placement ”). The Private Placement raised proceeds of circa US$15 million (before costs).

The shares issued pursuant to the Private Placement to subscribers in Canada are subject to a four month and one day hold period under applicable Canadian securities laws.

The Private Placement was led in Australia by Hartleys Limited and co-managed by Taylor Collison and co-led internationally by BMO Capital Markets, together with a syndicate of agents including Tectonic Advisory Partners (acting through Ecoban Securities Corporation), Arlington Group Asset Management Limited and Raymond James.

RTG Mining Inc. is a mining and exploration company listed on the main board of the Toronto Stock Exchange and Australian Securities Exchange Limited. RTG is focused on developing the high grade copper/gold/magnetite Mabilo Project and advancing exploration on the highly prospective Bunawan Project, both in the Philippines, while also identifying major new projects which will allow the Company to move quickly and safely to production.

RTG has an experienced management team (previously responsible for the development of the Masbate Gold Mine in the Philippines through CGA Mining Limited), and has B2Gold Corp. as one of its major shareholders in the Company. Notice under Section 708A(5)(e) of the Corporations Act 2001 (Cth)

RTG Mining Inc. (TSX: RTG, ASX: RTG) (" RTG " or the " Company ") advises that it has today issued 33,333,340 new fully paid shares at A$0.60 per share (" Placement Shares ") pursuant to the settlement of the placement to institutional and sophisticated investors announced on 15 July 2016.

RTG gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (" Corporations Act ") that:

  1. the Placement Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

  2. as at the date of this notice, RTG has complied with:

  3. (a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company;

  4. (b) section 674 of the Corporations Act; and

  5. as at the date of this notice, there is no "excluded information" within the meaning of sections 708A(7) and 708A(8) of the Corporations Act which is required to be disclosed under section 708A(6)(e) of the Corporations Act.
