RSA Insurance Group plc (the “Company”) received notification on 12 June 2014, of the following transactions in its ordinary shares of 100.00p each (“Ordinary Shares”) by Paul Donaldson on 11 June 2014.

Mr Donaldson exercised 19,084 share options under the Company’s Executive Share Option Scheme as detailed in the table below (the “Exercise”).
