THE FOLLOWING IS A COMPANY ANNOUNCEMENT ISSUED BY RS2 SOFTWARE P.L.C. ("THE COMPANY") PURSUANT TO THE MALTA FINANCIAL SERVICES AUTHORITY LISTING RULES.

Following a Board of Directors meeting held on the 10th August, 2015, John Elkins, currently residing at 3773 Mountainside Trail, Evergreen, CO 80439 USA, has been appointed as a non-executive director of the Company with effect from the 17th August 2015.

John Elkins is formerly President and Executive Management Committee member, International Regions, of First Data, a global leader in electronic payment processing with operations in 35 countries.

John Elkins joined First Data in 2009 as executive vice president and Chief Marketing Officer with responsibility for global marketing, corporate strategy, brand development, public policy and communications.

Previously, John Elkins served as a Senior Advisor at McKinsey & Company. Before that, he served as executive vice president and Chief Marketing Officer for Visa International. John Elkins is the founder, former chairman and CEO of FutureBrand, a worldwide corporate brand and design consultancy that became one of the leading global enterprises in the marketing communications sector when it launched in 1999.

John Elkins currently serves on the boards of FINCA International and Elateral Ltd. His previous Board roles include Wells Fargo Merchant Services and the UN Microfinance Advisory Board for Inclusive Financial Services. He was a member of the McCann-Erickson WorldGroup Board from 1997 through 2004.

John Elkins has a master's degree from the University of Oregon and a bachelor's degree from the University of Exeter, England.

The appointment was made in virtue of Article 55.1 (d) of the Articles of Association of the Company.

There are no matters which require disclosure under the Listing Rules.
