In terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of the Company at its meeting held on July 31, 2020, inter alia, has:

1. considered and approved the Unaudited Financial Results of the Company for the quarter ended June 30, 2020 along with Limited Review Report of the Statutory Auditors thereon.

2. approved appointment of Mr. Vishal Shah as Chief Financial Officer of the Company with effect from August 3, 2020, based on recommendation of Nomination and Remuneration Committee and Audit Committee.

3. approved continuation of Mr. Mahesh Narayanaswamy as Vice President – Finance up to October 31, 2020.

Profile of Mr. Vishal Shah is enclosed herewith as 'Annexure A'. It may be noted that he is not related to any other Director or Key Managerial Personnel of the Company.
