Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) - Cleansing Statement

Rox Resources Limited (ASX: RXL) (" Rox " or " the Company ") confirms that it has today issued 600,955 fully paid ordinary shares in the Company (" Shares ") in consideration for drilling activities provided by Topdrill Pty Ltd (refer ASX announcement 12 August 2024).

Please refer to the Appendix 2A announced to ASX on 4 September 2024 and the Company's ASX announcement dated 12 August 2024 for further details on the issue of Shares.

The Company provides notification under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Act ) in respect of the issue.

For the purposes of section 708A(6) of the Act, the Company gives notice that:

• (a) the Company issued 600,955 Shares without disclosure to investors under Part 6D.2 of the Act;

• (b) this notice is being given under section 708A(5)(e) of the Act;

• (c) as at the date of this notice, the Company has complied with:

  • ii) sections 674 and 674A of the Act; and

• (d) as at the date of this notice, there is no information that is ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Act that is required to be disclosed pursuant to section 708A(6)(e) of the Act.
