Notice under section 708A(5)(e) of the Corporations Act 2001 - Cleansing Statement

West Australian gold exploration and development company Rox Resources Limited ( "Rox” or “the Company” ) ( ASX:RXL ) wishes to confirm the issue on 29 August 2023 of 25,677,800 fully paid ordinary shares in the Company ( Shares ) at $0.20 per Share pursuant to the placement which the Company announced on 23 August 2023 (utilising part of the Company's placement capacity pursuant to Listing Rule 7.1A).

The Company provides notification under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the Act ) in respect of the issue.

For the purposes of section 708A(6) of the Act, the Company gives notice that:

• (a) 25,677,800 fully paid ordinary shares were issued without disclosure to investors under Part 6D.2 of the Act;

• (b) this Notice is being given under section 708A(5)(e) of the Act;

• (c) as at the date of this Notice, the Company has complied with:

  • i) the provisions of Chapter 2M of the Act as they apply to the Company; and

  • ii) sections 674 and 674A of the Act; and

• (d) as at the date of this Notice, there is no information that is ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Act that is required to be disclosed pursuant to section 708A(6)(e).

Youanmi Project has a Total Mineral Resource of 3.2Moz of contained gold, with potential for further expansion with the integration of existing prospects into the Resource and further drilling. Youanmi was a high-grade gold mine and produced ~667,000oz of gold (at 5.47 g/t Au) before it closed in 1997. It is classified as a disturbed site and is on existing mining leases which have significant existing infrastructure to support a return to mining operations.
