Sub: Grant of Stock Options under Route Mobile Limited - Employee Stock Option Plan 2021 (‘RML ESOP 2021’)

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other applicable circulars, we wish to inform you that the Nomination and Remuneration Committee of the Company vide circular resolution dated and passed on October 12, 2021 (the “Grant Date”) has approved the grant of 7,36,500 stock options (‘Options’) (convertible into 7,36,500 Equity shares of Rs. 10 each, upon Exercise) to eligible employees of the Company (and its subsidiary[s]) under RML ESOP 2021.

Whether the scheme is in terms of SEBI(ShareBasedEmployeeBenefits)Regulations, 2014 (‘SEBI SBEB Regulations’)(if applicable) Yes. RML ESOP 2021 is formulated and approved by theShareholders of the Company pursuant to the provisions of theSEBI (SBEB) Regulations, 2014 replaced by SEBI (Share BasedEmployee Benefits and Sweat Equity) Regulations, 2021 ('SEBISBEB&SE').
Vesting Period: Vesting of Options shall happen subject to the continuous employment with the Company as onrelevant date(s) of vesting, in terms of the RML ESOP 2021 and subject further as under:
Category I Four equal vests (25%) at the end of First, Second, Third andFourth year from the date of Grant.
Category II (a) Time based vesting (25% and/or 20%, as specified ingrant letter of respective employee[s]) at the end of Firstyear; and
(b) 25% each for one employee and 20%, 20% and 40% forothers at the end of Second, Third and Fourth Year
respectively from the date of Grant, subject toachievement of performance conditions as specified ingrant letter of respective employee[s].
Exercise Period Stock Options to be exercised within 5 years from the date ofeach vesting.
Exercise Price Rs. 2,296.05 per Option (Closing Price on National StockExchange of India Limited on October 11, 2021, viz., previousday's Closing Price at the Stock Exchange having the highesttrading volume).
