Rotork plc (the "Company")

SHARE SUBDIVISION

Further to the Company's announcement dated 15 May 2015, the Company confirms that the subdivision of each of its existing ordinary shares of 5 pence each into 10 new ordinary shares of 0.5 pence each ("New Ordinary Shares") (the "Subdivision") has become effective and that the Official List of the UKLA has been amended to reflect the Subdivision. 

CREST accounts have been updated to reflect the Subdivision.  Certificates in respect of New Ordinary Shares resulting from the subdivision of existing shareholdings are expected to be issued by 26 May 2015.

Certificates in respect of New Ordinary Shares issued under the Company's Dividend Reinvestment Plan in connection with the final dividend for the financial year ended 31 December 2014 are expected to be issued by 21 May 2015.
