Rosneft Board of Directors Rules to Purchase RN Holding Shares

The Board of Directors of Rosneft made a resolution to purchase ordinary and preferred shares of ОАО RN-Holding (formerly ОАО TNK-BP Holding) based on a voluntary offer to acquire shares under the applicable laws on joint stock companies.

The Board of Directors resolved to establish the voluntary acquisition price based on the calculation of weighted average share price, derived from the outcome of the 18-month organized trade period preceding 26.09.2013, and the independent assessment of the shares market value at 67 rubles per one ordinary and 55 rubles per one preferred share of OAO RN-Holding. 

The Management Board of Rosneft has been instructed to prepare and present to the Board of Directors before October 15, 2013 the documents required for the voluntary offer to be made to the owners of OAO RN-Holding shares.
