Subject: Intimation for Fresh Investment in Navi Mumbai Premier League Private Limited

Dear Sir/Madam,

Reference is made to the intimation filed by Rose Merc Limited (“Rose Merc”) with the Stock Exchange on May 9, 2024, in relation to, amongst others, Rose Merc’s holding of 25% of the share capital of Navi Mumbai Premier League Private Limited (“NMPL”).

We wish to inform the Stock Exchange that NMPL, as part of its fund-raising activity, has raised money by issuing equity shares on a preferential basis for an aggregate amount of Rs. 9,131,300 (Rupees Ninety-One Lakhs Thirty-One Thousand Three Hundred Only). The issue price of equity shares of NMPL for the aforesaid fund raise has been determined based on the valuation report obtained by NMPL, with an enterprise valuation of NMPL computed at Rs. 180,00,00,000 (Rupees One Hundred Eighty Crore Only).

As a consequence of the completion of the aforesaid investment in NMPL, the shareholding of Rose Merc in NMPL has been marginally diluted from 25% to 24.87%.
