We hereby inform you that the Board of Directors of the company, pursuant to Regulations 30(7) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, (“Listing Regulations") the Board of Directors of the Company at its meeting held on today i.e., Wednesday, January 25, 2023 has transacted following business items:

1. Appointment of Mrs. Vaishali Parkar Kumar (DIN: 09159108) as an additional director of the company.

2. Appointment of Mr. Purvesh Krishna Shelatkar (DIN: 09838204) as an independent director of the company.

3. Appointment of Mr. Sonu Surjit Vasan (DIN: 09133175) as an independent director of the company.

4. Approval of new business plan for the company:

5. Rose Merc Ltd. Plans to enter into new business with e-commerce where the company plans to sell Rudraksha, gem stones, yantra products related to astrology and other occult services. Further the company also plans to start different kinds of occult services like Astrology, numerology, Tarot, handwriting analysis, Vastu shatra and other occult services.

6. Approval to acquire 10% stake in Bhakti world Radio Broadcasting Pvt. Ltd., a mental health wellness company for synergies with new business segment mentioned above. Bhakti World Radio (formerly 2B Radio) is engaged in Devotional music radio and healing mantras with an online digital channel for internet users on website, app based (android, IOS). It has 6.9mn active listeners across 167 countries. The company has 245 hours of owned content which includes 2400 songs in total (Arti, Bhajan, Namavali etc.) with 60 years of creation rights.

7. Resignation of Mr. Gopal Hareshbhai Shah (DIN: 07962196) from the post of independent director of the company
