Dear Sir/Madam,

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we would like to intimate that the Board of Directors of the Company have, at their meeting held today, i.e., Thursday, April 06[th] ,2023, inter alia, transacted following businesses:

1. Reconstitution of the Audit Committee of the Board consisting of the following members:

1. Considered and approved the proposal to enter into a detailed feasibility study for entering into the flight simulator business, which involves the development, manufacturing, and maintenance of training simulators used to certify and train commercial airline pilots. This business will cater to the needs of the aviation industry and contribute to the safe and efficient operation of commercial airlines. Further the Board has assigned the responsibility to Mr. Vivek Parulkar, Executive Director of the Company to lead the feasibility study and present a plan for entering the aviation sector. The study will outline a detailed investment plan of up to about Rs.100 crores, which will be presented to the board upon completion.

2. Considered and approved the proposal to acquire an equity stake of 46.67% in Outcry Entertainment Pvt Ltd/Associate/Group. The current valuation subject to detailed valuation exercise to be undertaken is at Rs.15 crores for group entailing an investment of about Rs.7 crores. This acquisition would allow our company to partner with the leading and fast-growing E-commerce platform developers, event management company, talent promotion, product launches, promotional advisors, creative branding, advertising, and experiential marketing campaigns for promotion activity. The company is led by Saurabh Chaudhary, who has successfully launched major artists on the national scene, organized over 300 events since 2012, and is the leader in organizing the annual college fest, 31st December nights of over 10,000 people. The acquisition will be subject to a detailed due diligence exercise and various regulatory compliances.

1. Appointment of Chief Financial Officer of the Company, Mr. Anant More w.e.f 06[th] April, 2023. His Brief profile is as mentioned below-

Mr. Anant More is a highly qualified professional with a diverse academic background. He has completed his Masters in Commerce with specialization in Financial Management, Rural Development, and Masters in Population Studies (MPS) from the International Institute for Population Sciences, and was sent on scholarship to Miami, USA in the third year of his masters. Mr. Anant More has an impressive work experience of 25 years and has worked as a UNICEF consultant to Government of India for four years from 2002 to 2007. He is currently serving as the Director for SPARSH-Center for Participatory Learning, which started as an initiative of UNICEF. Anant More has also served as a national coordinator during national Census 2011 and Caste census 2013 in collaboration with UNICEF, UNDP Delhi and Rural development department Delhi, GOI. He has expertise in planning and organizing through data analysis to improve programming and implementation of projects, training programs, networking with government and non-government institutions in Mumbai and all over Maharashtra to build partnerships in urban and rural community development programs.
