(the “ Registrant ”) hereby incorporates by reference the description of its Class A Common Stock, par value $0.0001 per share, to be registered hereunder contained under the heading “Description of Capital Stock” in the Registrant’s Registration Statement on Form S-1 (File No. 333-249332), as originally filed with the Securities and Exchange Commission (the “ Commission ”) on October 5, 2020, as subsequently amended on October 20, 2020 (the “ Registration Statement ”), and in the prospectus included in the Registration Statement to be filed separately by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, as amended, which prospectus shall be deemed to be incorporated by reference herein.
