11.02.2025 tarihli özel durum açıklamamızda özetle Rönesans Gayrimenkul Yatırım A.Ş.'nin (" Şirket "), Esas Sözleşmesinin "Sermaye" başlıklı 7. maddesinin tadil edilmesi ve gerekli izinlerin alınması için Sermaye Piyasası Kurulu'na (" Kurul ") 11.02.2025 tarihinde başvuru yapıldığı kamuya açıklanmıştı.

Başvurumuz, Kurul'un 21/04/2025 tarih ve E-29833736-110.03.03-71055 sayılı yazısı ile onaylanmıştır. Kurul tarafından onaylanan Esas Sözleşme Tadil Metni ekte yer almaktadır.

Şirketimiz Kurul tarafından onaylı esas sözleşme tadil metninin tescili için T.C. Ticaret Bakanlığı'na başvuruda bulunacaktır.

Kamuoyuna saygıyla duyurulur.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

As disclosed in our material event statement dated 11.02.2025, Rönesans Gayrimenkul Yatırım A.Ş. (the "Company") had applied to the Capital Markets Board of Türkiye (the "Board") on 11.02.2025 for the amendment of Article 7 titled "Capital" of its Articles of Association and for the necessary approvals.

Our application has been approved by the Board with its letter dated 21/04/2025 and numbered E-29833736-110.03.03-71055. The amended version of the Articles of Association, as approved by the Board, is attached hereto.

The Company will apply to the Ministry of Trade of the Republic of Türkiye for the registration of the amended Articles of Association.
