Subject: Outcome of the Board Meeting held today i.e. Thursday, May 09, 2024- Intimation under Regulation 30 of SEBI (LODR) Regulations, 2015

Pursuant to Regulation 30 of SEBI (LODR) Regulations 2015, we would like to inform you that the Board of Directors in their meeting held on Thursday, May 09, 2024 has approved and took note the Share Purchase Agreement ("SPA") dated May 09, 2024, entered between W.L.D. Investments Private Limited (Preference Shareholder) (“Seller”) and Newtime Infrastructure Limited (“Purchaser”).

In terms of the SPA, the Seller has agreed to sell the following Preference Shares of the Company to the Purchaser:

With effect of this SPA, the Board has approved the transfer of Preference Shares from W.L.D. Investments Private Limited (Transferor) to Newtime Infrastructure Limited (Transferee) with effect from 09th May 2024.

The Board Meeting commenced at 03:45 P.M. and concluded at 04:00P.M.
