Item 8.01. Other Events.

On November 27, 2023, Roivant Sciences Ltd. issued a press release announcing that its subsidiary Priovant’s Phase 2 study evaluating oral brepocitinib in adult patients with moderate to severe active lupus did not meet its primary endpoint. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference into this Item 8.01.
