Item 8.01. Other Events.

On May 30, 2025, Blake D. Moret, Chairman, President and Chief Executive Officer of Rockwell Automation, Inc., entered into a Rule 10b5-1 trading plan with respect to (i) shares of restricted stock units vesting on December 4, 2025 and December 5, 2025 and restricted stock units and performance shares vesting on December 9, 2025, and (ii) 24,400 and 61,700 shares of common stock issuable upon exercise of stock options with each tranche awarded to Mr. Moret in 2016. Mr. Moret entered into the plan to sell shares of common stock issuable upon vesting of restricted stock units and performance shares to cover taxes due on vesting and as part of his tax and financial planning strategy to diversify and liquidate options set to expire in calendar year 2026.
