Pursuant to Regulation 29(1)(d) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that a meeting of the Board of Directors of the Company is scheduled to be held on Friday, March 13, 2026, at Plot No. 92, 93 & 94, First Floor, Kavuri Hills, Madhapur, Hyderabad, Telangana – 500033, inter alia , to consider and approve the following:

1. Issue of equity shares to Strategic Investors on a preferential basis, being the second tranche, pursuant to the Resolution Plan approved by the Hon’ble National Company Law Tribunal, Jaipur Bench, vide its Order dated September 23, 2024, under the provisions of the Insolvency and Bankruptcy Code, 2016.

The proposed issuance forms part of the overall issuance of up to 1,00,00,000 (One Crore) equity shares of face value ₹10/- each, as approved under the said Resolution Plan.

1. Any other business, with the permission of the Chair.

Further, in accordance with the SEBI (Prohibition of Insider Trading) Regulations, 2015, and the Company’s Code of Conduct for Prevention of Insider Trading, the Trading Window for dealing in the securities of the Company by the Designated Persons and their immediate relatives shall remain closed till 48 (Forty-Eight) hours after the declaration of the outcome of the said Board Meeting.
