F1: On November 13, 2015, Senior Housing Properties Trust ("SNH") approved the distribution of certain shares of Class A common stock of The RMR Group Inc. (the "Issuer") pro rata to holders of SNH's common shares and set 5:00 p.m., Eastern Time, on November 27, 2015 as the record date for the distribution and December 14, 2015 as the payment date for the distribution. The Reporting Person sold common shares of SNH "regular way" on December 10, 2015, which included the entitlement to receive 205 shares of Class A common stock of the Issuer in the distribution. The SNH shares were sold for $14.025 per share. No additional consideration was received by the Reporting Person in such sale transaction for the entitlement to receive 205 shares of Class A common stock of the Issuer in the distribution.
