Copenhagen, 5 April 2023

Today, the Board of Directors of RISMA Systems A/S (the "Company") has resolved to issue up to 838,000 warrants to certain directors, officers and employees of the Company. The warrants may be subscribed within a period of 14 days from the date hereof.

The warrants will be issued in accordance with the authorization in section 7.3 of the Company's Articles of Association once subscribed. The terms and conditions of the warrants will be substantially equivalent to the existing warrants issued by the Company.

Each warrant will grant the holder the right to subscribe for one share of nominally DKK 0.10 in the Company.

The exercise price is fixed at DKK 5.57 per share. The warrants will vest successively over 36 months and may be exercised following expiry of the vesting period.

The terms of the warrants will, once issued, be found in the updated Articles of Association on www.rismasystems.com/investors.

The theoretical market value of each warrant has been estimated at 3.1 DKK, calculated on the basis of the Black-Scholes model.
