APPOINTMENT OF PRENZLER GROUP

AS INVESTOR RELATIONS ADVISOR

Rincon Resources Limited ( Rincon or the Company ) (ASX: RCR) is pleased to announce that it has agreed to appoint Prenzler Group Pty Ltd (“Prenzler”) as its Investor Relations Advisor.

Prenzler Group is an Australian private equity and capital market services firm. Prenzler Group provide advice to corporate investment clients in relation to funding rounds, mergers and acquisitions (M&A), capital markets, recapitalisation and advanced financing transactions. Prenzler Group also provide a range of capital market services to Institutional, Family Office and HNW clients regarding direct investments.

As part of the consideration under the mandate, Rincon will issue Prenzler Group (or their nominee) 5,000,000 unlisted options with a strike price of $0.20 and expiring 3 years from the date of issue. 50% of the options vest immediately and the remaining 50% will vest if the Company raises at least $2,000,000 of additional capital at a price of more than $0.20 a share within 6 months of the parties entering the mandate.

The terms of these performance options are subject to ASX approval, which will be sought prior to issuing the options.
