Sub: Intimation of Scheme of Amalgamation under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

Dear Sir/Madam,

We wish to inform you that we have been informed by our Step-Down Subsidiary Company namely Rico Jinfei Wheels Limited (Rico Jinfei) that it has, in its Board Meeting held on 26[th] July, 2021, approved the Scheme of Amalgamation ("Scheme") for merger of Rico Castings Limited (RCL), with and into itself, pursuant to Sections 230 to 232 of the Companies Act, 2013. The Scheme is subject to necessary statutory and regulatory approvals including the approvals of National Company Law Tribunal, the shareholders and creditors of each of the Companies.

We wish to further inform that pursuant to Scheme of Amalgamation Rico Jinfei shall issue equity shares to the shareholders of RCL which shall result in dilution of 3.05% in Company's (Rico Auto) indirect holding from 94.79% to 91.74% in Rico Jinfei on expanded capital basis.
