VOLUNTARY ANNOUNCEMENT COMPLETION OF THE ACQUISITION OF ALFORD INDUSTRIES LTD

This is a voluntary announcement of the Company.

The Board is pleased to announce that the Company successfully completed its acquisition of the entire issued shares of Alford Industries Ltd on Friday 30 January 2009, and AIL is now a wholly-owned subsidiary of the Company.

Reference is made to the announcement of United Pacific Industries Limited (the “Company”) dated 18 January 2009 (the “Announcement”) in relation to a discloseable transaction, being a proposed acquisition (“Acquisition”) of the entire issued shares in Alford Industries Ltd (“AIL”) from all the shareholders of AIL. Capitalised terms used herein have the same meaning as used in the Announcement unless otherwise defined herein or the context otherwise requires.

The Board of the Company is pleased to announce that all conditions precedent to the closing of the Acquisition have been satisfied and the closing was completed on Friday 30 January 2009, whereupon AIL became a wholly-owned subsidiary of the Company.
