CHANGE OF AUDITORS

This announcement is made by the board (the ‘‘ Board ’’) of directors (the ‘‘ Directors ’’) of Superactive Group Company Limited (the ‘‘ Company ’’, together with its subsidiaries, collectively the ‘‘ Group ’’) pursuant to Rule 13.51(4) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

The Board announces that as BDO Limited (“ BDO ”) and the Company have not been able to reach an agreement on the audit fee for the financial year ending 31 December 2021, BDO has resigned as the auditors of the Group with effect from 14 December 2021.

BDO has confirmed in writing that there were no matters relating to the change of auditors of the Company that need to be brought to the attention of the shareholders of the Company (the ‘‘ Shareholders ’’). The Board also confirmed that there is no disagreement between BDO and the Company, and there are no matters in respect of the change of auditors that need to be brought to the attention of the Shareholders.

The Board further announces that, with the recommendation from the audit committee of the Company, Confucius International CPA Limited (‘‘ Confucius ’’) has been appointed as the new auditors of the Company with effect from 15 December 2021 to fill the casual vacancy following the resignation of BDO and to hold office until the conclusion of the next annual general meeting of the Company. The Board believes that the change of auditors will not have any significant impact on the annual audit and the release of the annual results of the Group for the year ending 31 December 2021.
