RE : RICHELIEU HARDWARE LTD. - Report of Voting Results pursuant to section 11.3 of National Instrument 51-102 Continuous Disclosure Obligations (“NI 51-102”)

Following the Annual and General Meeting of the shareholders of Richelieu Hardware Ltd. (the “Corporation”) held on April 8, 2021 (the “Annual Meeting”), and in accordance with section 11.3 of NI 51-102, we hereby advise you of the following voting results obtained at said Annual Meeting:

VOTING RESULT

1. Election of Directors.

2. Appointment of Ernst & Young LLP as the Company’s auditors and authorization to the Board of Directors to fix their remuneration.

All nominees proposed by management were individually and separately elected by a majority of shareholders. Proxies were received on this matter as indicated in Schedule “A” attached hereto.

Ernst & Young LLP were appointed as the Corporation’s auditors and the directors were authorized to fix their remuneration by a majority of shareholders. 97.46% of the proxies received on this matter were voted FOR the appointment and 2.54% of the votes were WITHHELD.
