Item 2.04 Triggering Events That Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.

On March 10, 2010, Richardson Electronics, Ltd. (the “Company”) notified the holders of the Company’s 7 3 / 4 % Convertible Senior Subordinated Notes due 2011 (the “Notes”) that it has elected to redeem $10,000,000 in aggregate principal amount outstanding. The Notes will be redeemed on March 22, 2010 (the “Redemption Date”). The Notes will be redeemed at a redemption price equal to 100% of the principal amount thereof, plus accrued and unpaid interest to, but not including, the Redemption Date. The Notes were issued pursuant to the Indenture, dated as of February 14, 2005, by and between the Company and Law Debenture Trust Company of New York, a New York banking corporation, as Trustee (as successor to JPMorgan Trust Company, National Association), in the original aggregate principal amount of $44,683,000. As of March 10, 2010, and including the principal amount to be redeemed, $43,833,000 in aggregate principal amount of the Notes was outstanding.
