1.            2004 Executive Share Option Plan - exercise of share options

Ricardo PLC (the "Company") announces that on 10 September 2013, Dave Shemmans, one of its Executive Directors, acquired a total of 80,000 ordinary shares of 25 pence each in the Company ("Shares") at a price of £2.675 per Share pursuant to the exercise of a share option granted under the terms of the Company's 2004 Executive Share Option Plan (the "Plan"). This option, which was granted pursuant to the Plan on 22 February 2005, first became exercisable in 2008 following the satisfaction of certain EPS based performance conditions.

Following the exercise of this option, all 80,000 of the above Shares were sold at a price of £4.99 per Share on behalf of the Executive Director concerned on 10 September 2013.

2.            Net Current total holdings of Shares

Following the above notifications, the total holding of Shares of the relevant Executive Director is unchanged as follows:
