1.         2004 Executive Share Option Plan - exercise of share options

Ricardo PLC (the "Company") announces that on 8 March 2013, Paula Bell, one if its Executive Directors, acquired a total of 25,000 ordinary shares of 25 pence each in the Company ("Shares") at a price of £3.00 per Share pursuant to the exercise of share options granted under the terms of the Company's 2004 Executive Share Option Plan (the "Plan"). These options, which were granted pursuant to the Plan on 20 October 2006, first became exercisable in 2009 following the satisfaction of certain EPS based performance conditions.   

Following the exercise of these options, a total of 25,000 of the above Shares were sold at a price of £4.002016 per Share on behalf of the Executive Director concerned on 8 March 2013. 

2.         Net current total holdings of Shares

Following the above notifications, the total holding of Shares of the relevant Executive Director is unchanged as follows:
