Ricardo PLC (the "Company") announces that it received notification on 5 March 2013 of the following transactions by Ian Lee, a non-executive director of the Company, and certain of his connected persons.  On 5 March 2013:

·     Ann Lee, Ian Lee's spouse, transferred 6,500 ordinary shares of 25p each in the capital of the Company ("Shares") to Ian Lee for nil consideration;

·     Ian Lee sold 6,500 Shares at a price of £3.945 per Share;

·     Ian Lee purchased 3,250 Shares into his ISA at a price of £4.009046 per Share; and

·     Ann Lee purchased 3,250 Shares into her ISA at a price of £4.008 per Share.

Following these transactions, the total beneficial holding of Shares of Ian Lee and his connected persons is unchanged at 13,000 Shares, representing approximately 0.025% of the Company's issued ordinary share capital.

The above notifications are intended to satisfy the Company's obligations under Disclosure and Transparency Rule 3.1.4R.
