2008 DOCUMENT DE REFERENCE MADE AVAILABLE

Rexel announced having published its Document de référence for the year ended December 31, 2008. It has been registered by the French Autorité des marchés financiers (AMF) under the number R.09-022.

The Document de référence includes in particular the following information :

• − The annual financial report for the year ended December 31, 2008 ;
• − The report of the Chairman of the Supervisory Board on the functioning of the Supervisory Board and on internal controls for the financial year 2008 ;
• − The report of the Statutory Auditors on the Chairman of the Supervisory Board's report ;
• − The information regarding the fees paid to Statutory Auditors ; and
• − The list of publications within the past twelve months.
