Item 8.01 Other Events .

On January 16, 2025, the Board approved a dividend of $0.14 per share on the Company’s common stock. The dividend is payable March 14, 2025 to stockholders of record at the close of business on February 14, 2025. The Board will assess and approve future dividends quarterly. The full text of the Company’s press release, issued on January 16, 2025, announcing the quarterly dividend payment is included as Exhibit 99.1 to this report.
