CLEANSING NOTICE - CONSIDERATION SHARES
Placement cleansing notice under section 708A(5)(e) of the Corporations Act
Northern Cobalt Limited (Company) has issued 500,000 fully paid ordinary shares in the Company at an issue price of $0.10 per share as consideration for services related to the acquisition of tenements in Alaska, USA (Placement).

The shares offered under the Placement were issued without disclosure to investors under Part 6D.2 Corporations Act 2001 (Cth) ( Corporations Act ).

This notice is given under section 708A(5)(e) of the Corporations Act.

As at the date of this notice, the Company has complied with the provisions of Chapter 2M of the Corporations Act as they apply to Northern Cobalt and has complied with section 674 Corporations Act.

As at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act that has not already been disclosed to investors generally.
