We refer to the Final Prospectus (the "Final Prospectus") of the Company dated September 20, 2021 relating to the proposed offering of a minimum of 7,500,000 common shares and a maximum of 12,500,000 commom shares at $0.10 per share for gross proceeds of $750,000 under the minimum offering and $1,250.000 under the maximum offering..

We consent to being named and the use, in the above mentioned Final Prospectus, of our report dated September 20, 2021 to the shareholders' of the Company, on the following financial statements:
