CHANGES TO THE BOARD OF DIRECTORS

Resolute Mining Limited (ASX: RSG, "Resolute") announces the appointment of Mr Martin Botha as a non-executive director and the resignation of Mr Tom Ford effective 21 February 2014. Appendices 3X and 3Z are attached.

Marthinus (Martin) Botha is an Engineering Surveyor by training who has 30 years' experience in banking, with 24 years spent in leadership roles building Standard Bank Plc's (part of the Standard Bank of South Africa Limited group of companies) international operations. Mr Botha's specific primary responsibilities have included establishing and leading the development of the core global natural resources trading and financing franchises, as well as various geographic strategies, including those in the Russian Commonwealth of Independent States, Turkey and Middle East. Mr Botha is currently non-executive Chairman of Sberbank CIB (UK) Ltd, a securities broker regulated by the UK Financial Services Authority and is a nonexecutive director of Zeta Resources Limited (an ASX listed company). Mr Botha graduated with first class honours from the University of Cape Town and is currently based in London.

Mr Botha replaces Mr Tom Ford, who after 13 years as a director has decided to retire.

At the same time, we would like to thank Mr Ford for his significant contribution to the Board and the company over an extended period and we wish him well in retirement."

About Resolute:

Resolute is an unhedged gold miner with two operating mines in Africa and Australia. The Company is one of the largest gold producers by volume listed on the ASX. Resolute's flagship Syama project in Mali is on track for an increase in production to 270,000oz of gold a year following an approved expansion to be undertaken through FY2016. At its Ravenswood mine in Queensland Resolute is investigating a number of opportunities to add value by increasing gold production and lowering operating costs. The Company controls an extensive footprint along the highly prospective Syama Shear and Greenstone Belts in Mali and Cote d'Ivoire. Resolute has also identified a number of highly promising exploration targets at its Ravenswood operations and holds a number of exploration projects in Tanzania surrounding its Golden Pride mine.
