Item 5.02(b). Departure of Jack Derby from Board of Directors.

On February 19, 2013 Jack Derby resigned from the Board of Directors of Research Frontiers Incorporated effective as of the date of the Company's upcoming Annual Meeting of Stockholders. Mr. Derby indicated that his decision was not based upon any disagreement with the Company on any matter relating to the Company's operations, policies or practices. The Company's upcoming Annual Meeting of Stockholders is currently scheduled for June 13, 2013.
