Jako udziałowiec spółki AP Energobau OÜ z siedzibą w Tallinnie będącej akcjonariuszem RESBUD SE Narva mnt 5, 10117 Harju maakond, Tallinn, Kesklinna linnaosa zarejestrowanej w Estońskim Rejestrze Handlowym pod numerem 14617750 (dalej: RESBUD lub Spółka), niniejszym w wykonaniu obowiązku określonego w § 185 Estońskiej ustawy o rynku papierów wartościowych zawiadamiam o:

Pośrednim zwiększeniu zaangażowania w ogólnej liczbie głosów

w Spółce RESBUD Spółka Europejska z siedzibą w Tallinnie,

zarejestrowanej w Estońskim Rejestrze Handlowym pod numerem

14617750 (dalej: RESBUD lub Spółka)

Zawiadamiający informuje, iż w dniu 22.04.2019 r. powziął informacje o podwyższeniu kapitału zakładowego spółki AP Energobau OÜ, na podstawie którego nabył 99 % udziałów w AP Energobau OÜ. AP Energobau OÜ posiada 4.290.000 sztuk akcji Spółki, co stanowi 33,00 % udziału w kapitale zakładowym Spółki oraz uprawnia do oddania 4.290.000 głosów, stanowiących 33,00 % udziału w ogólnej liczbie głosów na Walnym Zgromadzeniu Spółki.

Zawiadamiający informuje, że przed podwyższeniem kapitału zakładowego AP Energobau OÜ posiadał bezpośrednio oraz pośrednio 0 sztuk akcji Spółki, co stanowi 0 % udziału w kapitale zakładowym Spółki oraz uprawnia do oddania 0 głosów, stanowiących 0 % udziału w ogólnej liczbie głosów na Walnym Zgromadzeniu Spółki.

Zawiadamiający informuje, że po podwyższeniu kapitału zakładowego, tj. na dzień

22.04.2019 r. pośrednio przez swój podmiot zależny AP Energobau OÜ posiada łącznie 4.290.000 sztuk akcji Spółki, co stanowi 33,00 % udziału w kapitale zakładowym Spółki oraz uprawnia do oddania 4.290.000 głosów, stanowiących 33,00 % udziału w ogólnej liczbie głosów na Walnym Zgromadzeniu Spółki.

Ponadto Zawiadamiający informuje, że żadne podmioty od niego zależne poza AP Energobau OÜ nie posiadają akcji Spółki oraz, że Zawiadamiający nie zawierał żadnych porozumień ani umów, których przedmiotem byłoby przekazanie uprawnienia do wykonywania prawa głosu.

Notification

As a shareholder of AP Energobau OÜ headquartered in Tallinn being a shareholder of RESBUD SE Narva mnt 5, 10117 Harju maakond, Tallinn, Kesklinna linnaosa registered in the Estonian Commercial Register under number 14617750 (hereinafter RESBUD or the Company), hereby fulfilling the obligation set out in § 185 of the Estonian Securities Act, I inform about:

Indirect increase in ownership of RESBUD SE shares headquartered in Tallinn,

registered in the Estonian Commercial Register under number 14617750

(hereinafter: RESBUD or Company)

The Notifier informs, that on 22/04/2019 he received information regarding increase of the share capital of AP Energobau OÜ, as a result the notifier acquired 99 % of share capital in AP Energobau OÜ. AP Energobau OÜ owns 4.290.000 shares of RESBUD, which constitute 33.00 % of the Company's share capital and entitle to 4,290,000 votes, constituting 33,00 % of the total number of votes at the General Meeting of the Company.

The Notifier informs that prior to the increase of share capital in AP Energobau OÜ, had directly and indirectly 0 shares of the Company, which constitute 0 % of the Company's share capital and entitle to 0 votes, constituting 0 % of the total number of votes at the General Meeting of the Company.

The Notifier informs that after increase of share capital in AP Energobau OÜ, i.e. on 22/04/2019, he indirectly holds total via AP Energobau OÜ 4.290.000 shares of the Company, which constitute 33.00% of the Company's share capital and entitle to 4,290,000 votes, constituting 33,00% of the total number of votes at the General Meeting of the Company.

In addition, the Notifier informs that no subsidiaries apart from AP Energobau OÜ hold shares of the Company and that the Notifier did not conclude any understandings or agreements whose subject matter would be the transfer of the right to exercise the voting right.
