The fair market value of the exchanged shares was $29.58. This amended Form 4 has been filed to reflect the correct amount of shares withheld by the Company to satisfy the tax payment obligations. Due to a Company error in calculating the medicare taxes, additional shares were required to be withheld by the Company. The amount of shares initially reported as being withheld by the Company as of the date of vesting was 37,368 shares, and the correct amount withheld was 38,561 shares. The Company's Payroll Department advised of the error in the tax calculation on 05/19/2010.
