Sub: Outcome of Board Meeting

We wish to inform you that the Board of Directors at ,ts meeting held today i.e. January 21, 2020 reviewed the progress of the Scheme of Arrangement between Repro Books Limited ("Transferor Company" and the wholly owned subsidiary of Repro India Limited) and Repro India ltd. ("Transferee Company") and further informed that the Order 1s expected to receive from National Company Law Tribunal ("NCLT") in the month of February 2020 and accordingly the scheme effect can be given as per the provisions of the Companies Act, 2013.

The Company also reviewed the overall business operations and the same is in accordance with the plan of the Company.

The meeting of the Board commenced at 11.00 a.m and concluded at 2.30 p.m.
