NOTICE UNDER SECTION 708AA(2)(f) OF THE CORPORATIONS ACT 2001

Rent.com.au Limited (ASX: RNT) ( RENT or Company ), has today announced that it is undertaking a fully underwritten non‐renounceable rights issue ( Rights Issue ) and has received firm commitments for a sophisticated investor placement ( Placement Offer ) together to raise approximately $5.0 million (before costs).

Under the Rights Issue eligible shareholders will be invited to subscribe for (1) fully paid ordinary share (New Share) for every (4) existing shares in the Company held at the Record Date, (7.00pm AWST) 31 October 2016 at an issue price of $0.10 per New Share to raise approximately $3.7 million (before costs). The Rights Issue is fully underwritten by Grange Capital Partners Pty Ltd.

The Placement Offer to sophisticated investors is for 13.0 million Shares at an issue price of $0.10 to raise $1.3 million (before costs).

The Company advises that it will it will offer the New Shares under the Rights Issue for issue to investors under Part 6D.2 of the Corporations Act 2001 ( Corporations Act ) and states that this notice is given to ASX under section 708AA(2)(f) of the Corporations Act as modified by ASIC Corporations Instruments 2016/73 and 2016/84 ( ASIC Instruments ).

The Company confirms that:

  • a) the New Shares under the Rights Issue will be offered for issue without disclosure to investors under Part 6D.2 of the Corporations Act;

  • b) this notice is being given under section 708AA(2)(f) of the Corporations Act as modified by the ASIC Instruments;

  • c) as at the date of this notice, the Company has complied with:

  • i. the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • ii. section 674 of the Corporations Act;

  • d) as at the date of this notice, there is no excluded information of the type referred to in sections 708AA(8) and 708AA(9) of the Corporations Act; and

  • e) the potential effect that the Rights Offer will have on the control of the Company, and the consequences of that effect, will depend on a number of factors, including the extent to which eligible shareholder participate in the Rights Issue and existing shareholdings.

However, as the Rights Offer as a pro rata issue and the fact that no shareholder currently has or is expected to have after the Rights Offer voting power exceeding 20% in the Company, the Rights Offer is not expected to have any material effect or consequence on the control of the Company.
