  • Note A: On 1 April 2010, the Issuer entered into a placing agreement with China Merchants Securities (HK) Co., Limited as placing agent (the “Placing Agent”) (the “Placing Agreement”), pursuant to which the Placing Agent has conditionally agreed to place an aggregate of 60,000,000 new shares of HK$0.10 each in the capital of the Issuer at a price of HK$5.0 per share on a fully underwritten basis for and on behalf of the Company to no fewer than six placees. Details of the Placing Agreement are set out in the announcement of the Issuer dated 9 April 2010 and the circular of the Issuer dated 13 May 2010. The Placing Agreement was approved by independent shareholders of the Issuer at the extraordinary general meeting held on 31 May 2010.

  • Note B: On 1 April 2010, the Issuer entered into a subscription agreement with Pacific Climax Limited (the “Subscription Agreement”), pursuant to which the Issuer has conditionally agreed to issue and allot an aggregate of 91,800,000 new shares of HK$0.10 each in the capital of the Issuer at a price of HK$5.0 per share. Details of the Subscription Agreement are set out in the announcement of the Issuer dated 9 April 2010 and the circular of the Issuer dated 13 May 2010. The Subscription Agreement was approved by independent shareholders of the Issuer at the extraordinary general meeting held on 31 May 2010.
