CHANGE OF NON-EXECUTIVE DIRECTOR AND CHANGE OF AUDIT COMMITTEE AND REMUNERATION COMMITTEE

The Board would like to announce the following:

  • (1) Mr. Zhou has resigned as a non-executive Director, and a member of each of the Audit Committee and the Remuneration Committee with effect from 30 March 2017; and

  • (2) Mr. Zhang has been appointed as a non-executive Director, and a member of each of the Audit Committee and the Remuneration Committee with effect from 30 March 2017.

RESIGNATION OF NON-EXECUTIVE DIRECTOR, MEMBER OF THE AUDIT COMMITTEE AND MEMBER OF THE REMUNERATION COMMITTEE

The Board (the “ Board ”) of directors (the “ Directors ”) of Overseas Chinese Town (Asia) Holdings Limited (the “ Company ”, together with its subsidiaries the “ Group ”) would like to announce that with effect from 30 March 2017, Mr. Zhou Ping (“ Mr. Zhou ”) has resigned as a non-executive Director, and a member of each of the audit committee (the “ Audit Committee ”) and the remuneration committee (the “ Remuneration Committee ”) of the Company due to work reallocation.

Mr. Zhou has confirmed that he has no disagreement with the Board and there are no other matters that need to be brought to the attention of the shareholders of the Company in relation to his resignation of the above positions.

The Board would like to take this opportunity to express its gratitude to Mr. Zhou for his valuable contributions to the Company in the past years.

APPOINTMENT OF NON-EXECUTIVE DIRECTOR, MEMBER OF THE AUDIT COMMITTEE AND MEMBER OF THE REMUNERATION COMMITTEE

The Board further announces that with effect from 30 March 2017, Mr. Zhang Jing (“ Mr. Zhang ”) has been appointed as a non-executive Director, and a member of each of the Audit Committee and Remuneration Committee.

Mr. Zhang, aged 34, is an Economist (經濟師) and currently serves as the deputy director of the strategic development department of Shenzhen Overseas Chinese Town Company Limited (深圳華僑 城股份有限公司) (“ OCT Ltd. ”) . Mr. Zhang joined Overseas Chinese Town Enterprise Company (華僑城集團公司) (“ OCT Enterprise ”) since 2004, and had worked in Shenzhen Overseas Chinese Town Real Estate Company Limited (深圳華僑城房地產有限公司) (“ OCT Real Estate* ”) , OCT Enterprise, OCT Ltd. and Qingdao Overseas Chinese Town Industrial Co. Limited (青島華僑城實業 有限公司) consecutively and acted as senior manager of the strategic development of OCT Ltd., and the director of the administration department of OCT Real Estate. Mr. Zhang graduated from Xian Jiaotong University (西安交通大學) in 2004 with bachelor degrees in engineering management and journalism. He also obtained a master’s degree in business administration from Shanghai Jiaotong University (上海交通大學) in 2011.

Mr. Zhang will enter into a director’s service agreement with the Company for a term commencing from 30 March 2017 to the annual general meeting of the Company to be held in 2017. The service agreement can be terminated by either party by giving the other party one month written notice in advance. Mr. Zhang is not entitled to any director’s fee.

As at the date of this announcement, Mr. Zhang did not have any other interest in the shares or underlying shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) .

Save as disclosed above, Mr. Zhang declared that as at the date hereof, he does not have any relationship with any Director, senior management or substantial or controlling shareholder (as defined in the Rules Governing the Listing of Securities in The Stock Exchange of Hong Kong Limited (the “ Listing Rules ”) ) of the Company.

Save as disclosed above, Mr. Zhang has not held any directorship in other public companies the securities of which are listed on any securities market in Hong Kong or overseas in the last three years or held any other position with the Company and/or its subsidiaries or other major appointments and professional qualifications.

Save as disclosed above, Mr. Zhang confirmed that there is no other information required to be disclosed pursuant to Rule 13.51 (2) of the Listing Rules, and the Company is not aware of any other matters in relation to his appointment that need to be brought to the attention of the shareholders of the Company.

As at the date of this announcement, the Board of the Company comprises seven Directors, namely: Mr. Yao Jun, Ms. Xie Mei and Mr. Lin Kaihua as executive Directors; Mr. Zhang Jing as nonexecutive Director; Mr. Lu Gong, Ms. Wong Wai Ling, and Professor Lam Sing Kwong Simon as independent non-executive Directors.
