ESTABLISHMENT OF A NOMINATION COMMITTEE AND APPOINTMENTS TO THE NOMINATION COMMITTEE

The board of directors (the “ Board ”) of Overseas Chinese Town (Asia) Holdings Limited (the “ Company ”) is pleased to announce that on 28 February 2012, the Board has established a nomination committee (the “ Nomination Committee ”).

The members of the Nomination Committee shall comprise such directors of the Company appointed by the Board. The Board has appointed Ms. Wang Xiaowen, Ms. Wong Wai Ling and Mr. Lam Sing Kwong Simon, as members of the Nomination Committee and Ms. Wang Xiaowen has been appointed and shall act as the Chairman of the Nomination Committee.

As at the date of this announcement, the board of directors of the Company comprises seven Directors, namely: Ms. Wang Xiaowen, Ms. Xie Mei and Mr. Zhou Guangneng as executive Directors; Mr. He Haibin as non-executive Director; Ms. Wong Wai Ling, Mr. Xu Jian and Mr. Lam Sing Kwong Simon as independent non-executive Directors.
