Milan, 4 th May 2022
Relatech S.p.A., Digital Enabler Solution Know-how (DESK) Company and innovative SME listed on the Euronext Growth Milan market (Ticker: RLT), announces that, from 9 May 2022 the last exercise period of the "WARRANT RELATECH 2019 - 2022" will open, ISIN code IT0005373292 (the "Warrants").
The owners of the Warrants will have the right to subscribe the conversion shares in the ratio of no. 3 Conversion Shares for every n. 2 Warrants presented for exercise on any bank working day in the period between 9 and 20 May 2022. The exercise price is equal to Euro 0.95 per conversion share. Requests must be submitted to the intermediary adhering to Monte Titoli S.p.A. where the Warrants are deposited.
The conversion shares subscribed by the Warrant holders will be made available for trading, through Monte Titoli, on the settlement day following the end of the last day of the exercise period.
The conversion shares subscribed in exercise of the Warrants will have the same enjoyment as the Shares traded on Euronext Growth Milan on the date of their issue. The exercise price must be paid in full at the time of submitting the request, without increasing commissions and expenses to be borne by the applicants.
In cases where, as a result of the provisions, at the time of exercise of the Warrants a noninteger number of conversion shares is due, the warrant holder will have the right to receive conversion shares up to the full number, with rounding to the lower unit, and will not be able to assert any right on the fractional part.
The bearers of the Warrants will be able to exercise them, under penalty of forfeiture, within the deadline for exercise of May 20, 2022. Warrants that are not presented for exercise by the deadline of May 20, 2022 will forfeit all rights and become invalid for all purposes.
